Section D – Consultancy and Enhancements
- Provision of Consultancy and Enhancements
- In addition to any Services and Products provided by the Contractor under the Contract, the Customer may require the Contractor to provide Consultancy and Enhancement Services.
- If the Customer wishes to procure the Contractor to provide Consultancy and Enhancement Services under the Contract, it will notify the Contractor of its wishes and the parties will work together in good faith to agree in writing the terms on which such Consultancy Services will be provided (a ‘Statement of Work’). At a minimum, each Statement of Work must include the following information:
- the date on which the Contractor will commence providing the Consultancy and Enhancement Services and the term of the Statement of Work;
- the nature and scope of the Consultancy and Enhancement Services required, including any functional and performance requirements for the Consultancy and Enhancement Services, and the times and locations at which the work is to be done;
- the resources required (including resources to be made available by the Customer) in support of the delivery of the Consultancy and Enhancement Services, identifying the party which is to provide them;
- Specifications and/or an equivalent document such as a statement of work agreed in writing between the parties;
- a project plan substantially pursuant to which the Consultancy Services must be performed or a process by which the project plan will be agreed;
- Acceptance Tests or verification procedures applicable to any Products supplied in connection with the Consultancy Services, or a process by which such tests and procedures will be developed;
- any Service Levels applicable to the Consultancy Services; and
- the Charges payable by the Customer for the Consultancy and Enhancement Services, as calculated in accordance with Part D and Attachment “Charges” of the Contract, or such other basis as the parties may agree.
- Upon the execution of a Statement of Work by both parties, the services to be provided under that Statement of Work will become Consultancy and Enhancement Services for the purpose of the Contract and the Statement of Work shall be annexed to this Contract.
- The execution of a Statement of Work by both parties does not form a separate contractual relationship between the Customer and the Contractor. All Consultancy and Enhancement Services provided by the Contractor under a Statement of Work are provided under and in accordance with the terms of the Contract.
- Methodology
- The Contractor will:
- manage all stages of the supply of the Consultancy and Enhancement Services;
- take timely and corrective action where the Consultancy and Enhancement Services are not being performed in accordance with the requirements of the Contract;
- record action taken to correct any deficiencies in the Consultancy and Enhancement Services; and
- ensure the timely development and provision of corresponding documentation or appropriate electronic records (if any) as specified in the Contract Details.
